One-stop notification of change of company particulars

The following company information will be transferred to the Inland Revenue Department after notifying the Companies Registry, without the need for separate notification:

For Local Companies:

  • Company name
  • Registered office address

For Registered Non-Hong Kong Companies:

  • Corporate name
  • Principal place of business address in Hong Kong
  • Name and address of the authorized representative.

Notification of commencement of business and change of business particulars

According to the regulations of the Inland Revenue Department, all registered corporate entities must inform the Commissioner of Inland Revenue in writing, either by letter or by completing and submitting the IRBR200 form, within one month after the actual commencement of business, regarding any changes in business information. This includes business name, business description and nature, business address, and commencement date. You can download the forms from the Inland Revenue Department's website or request them through the form fax service (2598 6001).

Changing Business Address

Within one month after changing your business address, you need to complete theIRC 3111 form or notify the Companies Registry in writing. In the notification letter, clearly state your business registration number, business name, old and new business addresses, and the date of change, and attach proof of address (such as a lease agreement or a recent utility bill copy).

If you need to change both the registered office address and business address simultaneously, you can use the "one-stop notification service” at the e-Services Portal provided by the Companies Registry to change both addresses online at once.

How to Change Your Business Name

If you want to change your company's business name, you should complete the IRC 3110A form or notify the Companies Registry by letter within one month after the name change. Similarly, you need to clearly state your business registration number, old and new business names, business address, and the date of change.

Admission or Retirement of Partners

If any partners join or leave the partnership, you must complete and submit the IRBR 64 form to notify the Companies Registry within one month after the change. The form must be signed by the relevant outgoing and current partners, and you should attach a photocopy of the new partner's ID card or passport or a copy of their business registration certificate (if the partner is a legal entity).

If the addition or removal of partners results in a change from sole proprietorship to partnership (or vice versa), the Inland Revenue Department will issue a new business registration certificate after updating the records.

Changing Business Nature

If there are any changes in the business nature of your company, you need to complete and submit the IRBR 193 form or notify the Companies Registry in writing within one month after the change. Clearly state your business registration number, business name, address, and the date and details of the change in business nature.

Consequences of Late Submission of Notifications

Violators may face a fine of HKD 5,000 and a maximum imprisonment of 1 year.
